Transparency in Supply Chains
Policy Statement
Modern slavery is a crime and a violation of fundamental human rights. Slavery can take many forms, including servitude, forced or compulsory labor and human trafficking, all forms of slavery share the common characteristic of deprivation of a person’s liberty by another to exploit them for personal or commercial gain.
Teneo is committed to acting ethically and with integrity in all our business dealings and relationships and seeks to ensure modern slavery is not taking place anywhere in our business or supply chains.
We have a zero-tolerance approach to modern slavery and human trafficking in our business and expect the same high standard and commitment from all contractors, suppliers, business partners and clients. We are committed to implementing and enforcing effective systems and controls to ensure this is the case. We will uphold all laws relevant to countering modern slavery in the jurisdictions in which we operate, including the Modern Slavery Act 2015.

This policy applies to all personnel working with and for Teneo in any capacity, including Teneo personnel at all levels such as officers, directors, employees, agents, seconded employees, interns as well as contractors, consultants, suppliers, and business partners.

Responsibility for the Policy

The prevention, detection and reporting of instances of modern slavery in any part of Teneo’s business or involving its contractors, suppliers, business partners and clients is the responsibility of all those working for Teneo or under Teneo’s control. You must avoid any activity that might lead to or suggest a violation of this Policy.
You must immediately report any conduct you believe may have violated this Policy to your supervisor or to a member of the legal department. You are encouraged to provide notification of any suspicion or concern in this regard at the earliest stage and at your earliest opportunity.

It constitutes our modern slavery and human trafficking statement for the financial year ending 31 December 2025.
Introduction
Teneo is committed to conducting business responsibly and ethically. We have a zero-tolerance approach to modern slavery and human trafficking in our business and expect the same high standards from those with whom we do business.
We acknowledge our responsibilities under the Modern Slavery Act 2015 and remain committed to identifying, preventing and mitigating the risk of modern slavery within our business and supply chains.
About Teneo
The Teneo UK companies form part of Teneo, the global CEO advisory firm that provides comprehensive strategic advisory services to help leaders navigate complex business and reputational challenges. Further information about the services we provide is available on our website.
As a professional services firm, we consider the risk of modern slavery within our own operations to be low. Nevertheless, we recognise that modern slavery can occur in any sector and believe that everyone at Teneo has a responsibility to help identify and address potential human rights abuses.
Our Supply Chains
Teneo UK’s supply chains support our advisory business and principally comprise the procurement of personnel, professional services, technology, office services, facilities management and other goods and services necessary to support our operations.
We assess the overall risk of modern slavery within our business and supply chains as low. However, we recognise that certain categories of suppliers, including catering, cleaning, facilities management and other labour-intensive services, present relatively higher inherent risks.
When engaging suppliers, we seek to work with organisations that demonstrate high standards of business conduct and ethical practices, based on our own experience or recommendations from trusted third parties. We maintain a database of preferred suppliers and seek to ensure that the suppliers with whom we engage meet the standards expected by Teneo.
We remain committed to ensuring that our people, including regular on-site contractors, are paid fairly. We continue to operate a Living Wage Policy for our direct employees and for suppliers whose personnel work regularly on our premises.
Our Policies
Our commitment to preventing modern slavery is supported by a range of internal policies and procedures, including our:
- Code of Conduct and Ethics
- Global Transparency in Supply Chains Policy
- Diversity and Inclusion Policy
- Corporate Social Responsibility Policy
- Whistleblowing Policy
- Supplier Code of Conduct
The Global Transparency in Supply Chains Policy applies to all Teneo personnel, including employees, officers, directors, contractors, consultants, interns, suppliers and business partners. It sets out our expectations regarding the prevention, identification and reporting of modern slavery and human trafficking.
Employees are required to acknowledge the relevant policies when they join Teneo UK and to certify their compliance with applicable policies on an annual basis. Breaches of our policies are treated seriously and may result in disciplinary action, including dismissal where appropriate.
Governance
Responsibility for implementing our policies rests with management across the business, supported by the Compliance and Legal Teams. Managers are responsible for ensuring that those reporting to them understand the risks of modern slavery and comply with Teneo’s policies and procedures.
Our Approach During the Financial Year
During the financial year, we continued to operate and monitor the policies, procedures and controls designed to prevent modern slavery and human trafficking within our business and supply chains.
Employees are encouraged to raise concerns at the earliest opportunity where they suspect modern slavery or other human rights abuses. Concerns may be reported through management, the Legal Team or our independent whistleblowing hotline. Teneo is committed to supporting and protecting those who raise genuine concerns in good faith.
Our Supplier Code of Conduct remains an integral part of our procurement process and forms part of our contractual arrangements with suppliers and vendors. It sets out the standards of business conduct and ethical behaviour expected of our suppliers, including compliance with applicable modern slavery legislation.
These requirements are reinforced through our standard contractual terms, which require suppliers to comply with the Modern Slavery Act 2015 and other applicable legislation and provide Teneo with the right to terminate agreements where a material breach cannot be remedied.
Teneo remains a participant in the United Nations Global Compact and continues to support its principles relating to human rights, labour standards, environmental responsibility and anti-corruption.
Mandatory annual modern slavery awareness training continued to be provided to employees during the financial year.
During the financial year ending 31 December 2025, no reports or concerns relating to modern slavery or human trafficking were identified within our business or brought to our attention through our reporting channels.
Looking Ahead
During the next financial year, we will continue to review the effectiveness of our policies, employee training and supplier engagement processes to ensure they remain appropriate and proportionate to the nature and risk profile of our business.
We remain committed to identifying opportunities to strengthen our approach to preventing modern slavery and human trafficking and to maintaining appropriate oversight of our supply chains as our business evolves.
This statement was approved by the board of each of the Teneo UK entities named above and signed on their behalf by Leo van der Borgh, Director.
